Variation: BioPharma Deals may revise these terms and conditions from time to time. Revised terms and conditions will apply to the use of this website from the date of publication. Please check this page regularly to ensure you are familiar with the current version.
Entire agreement: These terms and conditions constitute the entire agreement between you and BioPharma Deals in relation to your use of this website, and supersede all previous agreements in respect of your use of this website. If a provision of these terms is found to be unenforceable under applicable law, that will not affect the enforceability of the other provisions.
These terms & conditions are applicable between an individual, a firm, company and/or a legal entity as mentioned on your registration form ("you" or "your") and BioPharma Deals as an owner, organizer, operator and/or manager of the event/conference ("BioPharma Deals"), for Attendee / Delegate registrations for the event mentioned on your registration form.
Please read them carefully as they contain important information. By signing and submitting your registration form to attend the summit, you agree to be bound by these terms & conditions to the exclusion of all other terms. If you do not agree to be bound by these terms & conditions, BioPharma Deals will not be able to complete your registration.
Your registration (whether submitted directly by you or on your behalf) is an offer to BioPharma Deals to attend an event which is subject to BioPharma Deals's acceptance in writing (which may include email). A binding contract between BioPharma Deals and you will only be formed when written confirmation of acceptance ("Confirmation") is sent by BioPharma Deals to you using the contact details you provided at the time of registration.
You should contact BioPharma Deals's organising team if you have not received Confirmation within 5 days of completing your registration form. If confirmation is not sent within 14 days of BioPharma Deals receiving your registration, your registration will be deemed to be accepted unless BioPharma Deals notifies you otherwise. BioPharma Deals reserves the right in its sole discretion to refuse to accept any registration without giving any reasons for refusal.
2.1 — Payment timing: You will pay BioPharma Deals the participation fees as mentioned in your booking form. Payment of your fees must be received in full and in cleared funds by BioPharma Deals from you within one week of the issuance of invoice and in any case not later than 48 hours before the start of the conference. If your invoice is not paid in full 48 hours before the summit, BioPharma Deals may (at its sole discretion) either require such payment as a condition of your access to the summit and/or refuse or restrict your access to the summit.
2.2 — Discounts: All discounts can only be applied at the time of registration and multiple discounts cannot be combined. All discounts are subject to prior approval of BioPharma Deals team. Discounts for group registrations are only valid for the number of delegates mentioned on your registration form.
2.3 — Pricing: Prices for each participation package are correct at the time of publication. BioPharma Deals reserves the right to change the prices at any time but changes will not affect registrations which have already been confirmed by BioPharma Deals.
2.4 — Taxes: It is the intent of the parties that BioPharma Deals will receive payment of your participation fees as net excluding all applicable taxes, including without limitation, sales, VAT, service or withholding taxes ("Taxes"), all of which shall be paid solely by you.
3.1 — Refunds: You will receive a refund of your fees paid to BioPharma Deals (if any) if you decide to cancel your registration, and the cancellation request is received in writing more than 60 days in advance. Refunds are subject to an administration charge equivalent to 10% of the total amount of your fees plus applicable Taxes. BioPharma Deals regrets to inform you that your participation fee will not be refunded if your cancellation request is received less than 60 days before the summit, or if you fail to attend the conference.
No cancellations are accepted once any part of a single or multi-registration party has accessed the pre-arranged meeting platform or partnering facilities. All cancellations must be sent by email to info@biopharmadeals.com marked for the attention of Account Services.
3.2 — Substitutions: Substitutions with employees from your organisation are welcome at any time but in all other respects delegate registrations are issued for your personal use only and cannot be shared with any person during the summit. You may not purchase registrations as an agent for any third party, sell or otherwise transfer your registration to others.
4.1 — Format changes: BioPharma Deals may (at its sole discretion) change the format (including, without limitation, from a physical in-person event to a virtual event and vice versa), agenda, speakers, participants, content, venue location, and programme or any other aspect of the summit at any time and for any reason, whether or not due to a Force Majeure, in each case without liability and/or any advance notice.
4.2 — Date changes: BioPharma Deals may (at its sole discretion) change the date or cancel the summit at any time for any reason. Where BioPharma Deals changes the date or cancels the summit for any reason except due to a Force Majeure, BioPharma Deals shall automatically transfer your registration to any rearranged Summit. If BioPharma Deals decides not to reschedule then you will (as your sole remedy) be entitled to receive either a credit note or a refund in respect of your fees received by BioPharma Deals.
4.3 — Force Majeure: Where a Force Majeure has or may have (in BioPharma Deals's sole discretion) an adverse impact on the ability of BioPharma Deals to hold the summit at the planned venue or on the planned date, BioPharma Deals shall be entitled to either provide an alternative format or venue for the summit, and/or reschedule the summit.
4.5 — Definition of Force Majeure: "Force Majeure" means any event or circumstance arising that is beyond the reasonable control of BioPharma Deals (including but not limited to governmental laws, ordinances, regulations, health scares including epidemic and pandemic such as COVID-19, military action, terrorism, mob, civil commotion, fire, acts of God, flood, drought, earthquake, severe weather, disaster, disruption to transportation, third party contractor/supplier failure, venue damage or cancellation, industrial dispute, strikes, or any other comparable calamity).
5.1 — You undertake to be responsible for any technical requirements needed to enable you to access the summit website, app or other platform made available by BioPharma Deals ("Event Platform").
5.2 — We do not guarantee that the Event Platform will operate continuously, securely or without errors or interruption, and we do not accept any liability for its temporary unavailability.
5.6 — BioPharma Deals may issue you with a username and password. Usernames and passwords are confidential and remain the property of BioPharma Deals at all times and may not be sold, assigned or transferred to any third party. You agree that you will not permit others to use your username or password and you will be and remain liable for the acts of any person using your username and password.
5.9 — You may use the Event Platform solely for access to the Event. Without limitation, you must not download, store, reproduce, transmit, display, copy, distribute, exploit or use the Event Platform and/or any content thereon for your own commercial gain, or use it in any manner other than in compliance with law and these terms and conditions.
BioPharma Deals may (at its sole discretion) refuse access to, or eject/block from the summit, any person in its absolute discretion, including (without limitation) any person who fails to comply with these terms and conditions or who in the opinion of BioPharma Deals represents a security risk, nuisance or annoyance to the running of the event. You agree to comply with all reasonable instructions issued by BioPharma Deals or the venue owners or operators at the event.
All unauthorised photography and/or the recording or transmitting of audio or visual material, data or information is expressly prohibited. You consent to BioPharma Deals undertaking multimedia recording, Audio/Video/Photography in all its shapes and forms of the event which may include your participation in the event as a delegate (the "Content").
You consent to the use by BioPharma Deals of any such recording anywhere in the world for promotional, marketing and other purposes. You acknowledge and agree that BioPharma Deals is the exclusive owner of all rights in the Content. If you wish to withdraw your consent, you are required to request this in writing before the start of the conference.
The personal information which you provide to us will be held by us on a database and where we have appropriate authorisation/justification (which may include, without limitation, express/implied consent or legitimate interests), may be shared with other companies in BioPharma Deals and selected third parties in the UK, United States and internationally for promotional purposes.
Your personal information may also be shared with government entities and regulatory authorities as required by law. There may be certain areas of the event at which your attendance is conditional on your personal information being provided to third parties which have sponsored or are managing such areas. The use that any third parties make of your personal information is outside of BioPharma Deals's control and, to the extent permitted by applicable law, we do not accept any liability in this regard.
To the fullest extent permitted by the applicable law, BioPharma Deals excludes: (a) all liability for loss, injury, disease or damage to persons or property at the event; (b) all indemnities, warranties, representations (whether express or implied); and (c) any actual or alleged indirect loss or consequential loss, any loss of profits, anticipated profits, savings, loss of business revenue, loss of business, loss of opportunity, loss of goodwill, or any other type of economic loss suffered by you howsoever arising.
If BioPharma Deals is liable to you for any reason, BioPharma Deals's total liability to you in relation to the event (whether under these terms or conditions or otherwise) is limited to the amount of your fees received by BioPharma Deals.
10.1 — Force Majeure: If, by reason of any Force Majeure, BioPharma Deals is delayed in or prevented from performing any of its obligations to you under these terms and conditions, then such delay or non-performance shall not be deemed to be a breach of these terms and conditions and no loss or damage shall be claimed by you by reason thereof.
10.2 — Amendments: BioPharma Deals reserves the right to amend these terms and conditions from time to time. However, you will be subject to the terms and conditions in force at the time you submit your registration.
10.3 — Third party rights: No person other than you and BioPharma Deals shall have the right to enforce these terms and conditions between us without the prior written agreement of you and BioPharma Deals.
11.1 — The governing law of these terms and conditions shall be the Law of England and Wales, with Courts of England and Wales having exclusive jurisdiction. Any dispute or claim arising out of or in connection with these terms or their subject matter or formation shall be governed by English law and you submit to the exclusive jurisdiction of the English courts.
11.2 — Nothing in this Condition 11 shall prevent or restrict BioPharma Deals from pursuing any action against you in any court of competent jurisdiction.
You should consider carefully whether or not you will be able to participate in any activities offered as part of a programme relating to the Summit. BioPharma Deals warns that some activities may be physically demanding and/or carry inherent dangers. If you have any concerns about your capabilities, aptitude, fitness and/or health to participate you should consult with (and follow the recommendations of) a medical professional prior to engaging in any activity.
You accept that it is entirely your responsibility to decide whether or not participation in any activity offered as part of the programme is appropriate to your capabilities, aptitude, fitness and health. To the extent permitted by applicable law, BioPharma Deals excludes all liability for any loss, injury, disease or damage whatsoever that you may suffer in connection with or arising from your participation in any activities offered as part of the programme.
